Governing law and jurisdiction 

Please also note that this term sheet has been developed for use in common law jurisdictions, such as Abu Dhabi Global Market, Dubai International Financial Centre, the Cayman Islands, BVI and Singapore, among others. If the investee company is domiciled in Delaware, the parties may consider using the NVCA form of documents (tailored for the region).
